Terms of Service.

The agreement between you and TenderGuruji Technologies Private Limited when you use the TenderGuruji platform. We have written it in the plainest English we could manage — your in-house counsel should still review it.

1. Acceptance

By signing up for, accessing, or using TenderGuruji (“the Service”), you agree to be bound by these Terms. If you are using the Service on behalf of a company, you represent that you have authority to bind that company.

2. Definitions

  • “We”, “us”, “TenderGuruji” means TenderGuruji Technologies Private Limited.
  • “Customer”, “you” means the organisation or individual using the Service.
  • “Service” means the TenderGuruji platform and all related software, data, and APIs.
  • “Order Form” means any signed quote, purchase order, or online checkout that references these Terms.

3. Your account

You are responsible for keeping your credentials secure. You must notify us within 24 hours of any suspected unauthorised access. Accounts are intended for use by named individuals at your company; credentials may not be shared between people.

4. Plans, fees & taxes

Fees, plan inclusions, and the billing cycle for your subscription are specified in your Order Form. All prices are exclusive of GST, which will be charged at the applicable rate under Indian tax law.

Renewals are automatic at the end of each term unless either party provides 30 days’ written notice. Fees are non-refundable except as required by Indian law.

5. Acceptable use

You will not, and will not permit anyone to:

  • Resell, sublicense, or white-label the Service without our written consent.
  • Reverse-engineer or attempt to extract the underlying source code.
  • Use the Service to scrape data for resale to third parties.
  • Use the Service in violation of any law, including the Information Technology Act, 2000, and the DPDP Act, 2023.
  • Upload malicious code or attempt to disrupt the Service.
  • Use the Service to send unsolicited commercial communications.

6. Your data, your IP

You own all data you submit to the Service (“Customer Data”). You grant us a non-exclusive, worldwide licence to process Customer Data solely to provide and improve the Service, in accordance with our Privacy Policy.

Government-procurement data we index from public portals is not Customer Data and remains in the public domain; we curate, normalise, and add value to it.

7. Our IP

The Service, its design, its software, and all documentation are owned by TenderGuruji Technologies Private Limited and are protected by Indian and international intellectual-property law. We grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during the term of your subscription.

8. Confidentiality

Each party agrees to protect the other’s Confidential Information with the same care it uses for its own confidential information, and never with less than reasonable care. Confidential Information includes pricing, roadmaps, security details, and non-public Customer Data.

9. Availability & SLA

We target 99.9% monthly uptime for the production Service. Detailed SLA, including service credits for downtime, is provided to Enterprise customers as a separate addendum to the Order Form.

10. Warranties & disclaimers

We warrant that the Service will materially conform to its published documentation. Except as expressly stated, the Service is provided “as is”. The data displayed in the Service is aggregated from public sources, and while we apply substantial quality controls, we do not warrant absolute accuracy or completeness. You are responsible for verifying tender details from the originating portal before submitting a bid.

11. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages. Each party’s aggregate liability under these Terms is capped at the fees paid by the Customer in the 12 months preceding the claim. Nothing in these Terms limits liability for fraud or gross negligence.

12. Termination

Either party may terminate for convenience with 30 days’ written notice. Either party may terminate immediately for material breach that is not cured within 30 days of written notice.

On termination, your access to the Service will be revoked. We will retain your account data for up to 12 months after termination to allow for reactivation, after which it will be permanently deleted, except where retention is required by law.

13. Data export & deletion

You may export your Customer Data at any time using the self-service export tools in the Service, or by writing to us. On request, we will provide a final export within 30 days of termination, in a machine-readable format.

14. Changes to terms

We may amend these Terms from time to time. Material changes will be notified by email and via in-product banner at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

15. Governing law & forum

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts at Gandhinagar, Gujarat.

The parties may, by mutual consent, refer disputes to arbitration under the Arbitration and Conciliation Act, 1996, seated in Gandhinagar, with proceedings conducted in English.
